1. Acceptance & Eligibility

By using Mothooq via the website (mothooq.com), dashboard (app.mothooq.com), or mobile applications available on the Apple App Store or Google Play Store (collectively “Services”), you expressly and unconditionally agree to be bound by all terms and conditions in this document. If you do not agree to any of these terms, you must immediately stop using the Services.

You must be at least 18 years old and have full legal capacity to enter into contracts. If you are using the Services on behalf of a company or organization, you represent that you are legally authorized to bind that entity to these terms.

2. Service Description

Mothooq is a cloud-based e-invoicing and accounting SaaS platform provided “AS IS” and “AS AVAILABLE”, including:

• Electronic invoicing with optional JoFotara (Jordan's National E-Invoicing System) integration.
• Cloud Point of Sale (POS) for browsers and tablets.
• Inventory, product, client, and vendor management.
• Financial and accounting reports.
• Mobile applications for accessing the system from smartphones.

3. Account & Registration

• You are solely and fully responsible for the accuracy of information provided during registration and keeping it up to date.
• You are solely and fully responsible for maintaining the confidentiality of your login credentials and preventing unauthorized access.
• You are responsible for all activities occurring under your account, whether or not you are aware of them.
• You must notify us immediately upon discovering any unauthorized use of your account.
• One account per company/organization. Creating multiple accounts for the same entity violates these terms.

4. Subscriptions & Payment

• The free plan is available with no time limits but with specified usage restrictions. We reserve the right to modify free plan limits at any time.
• Paid subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
• We reserve the right to adjust prices with 30 days prior email notice. Continuing your subscription after the adjustment constitutes acceptance of the new pricing.
• 14-day money-back guarantee applies to the first paid subscription only. This does not apply to subsequent renewals.
• In case of payment failure, we reserve the right to suspend the service until payment is completed.

5. Acceptable Use

You agree not to use the Services for any of the following purposes:

• Any illegal, fraudulent, or unlawful activity under the laws of the Hashemite Kingdom of Jordan.
• Issuing forged, misleading, fictitious invoices or invoices containing incorrect information.
• Tax evasion or manipulation of accounting data.
• Attempting unauthorized access to our systems or data of other companies or users.
• Uploading or transmitting malware, viruses, or any malicious code.
• Attempting to breach, disrupt, or degrade the performance of the system or infrastructure.
• Reselling or sublicensing the service to third parties without prior written permission.
• Using the service in any way that harms Mothooq's reputation or its users.

We reserve the right to suspend or terminate any account violating these restrictions immediately and without prior notice.

6. Data & Content Responsibility

You are solely and fully responsible for:

• The accuracy and correctness of data entered in your invoices and financial transactions.
• Ensuring your invoices comply with applicable tax and legal requirements.
• Maintaining your own backup copies of important data.
• Any consequences resulting from entering incorrect or misleading data into the system.
• Your compliance with tax and accounting legislation in your country.

We provide a tool for managing your data only and do not offer tax, accounting, or legal advice. Consult licensed professionals for professional counsel.

7. Intellectual Property

All intellectual property rights related to Mothooq — including design, source code, logo, trademark, content, user interface, and documentation — are exclusively reserved by Mothooq. You may not:

• Copy, modify, or distribute any part of the system or source code.
• Reverse engineer the system or any part of it.
• Use our trademark or logo without written permission.
• Remove or modify any intellectual property notices.

8. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of fitness for a particular purpose or merchantability.
• Warranties of uninterrupted, error-free, or fault-free service.
• Warranties of absolute data security or protection from loss, corruption, or breach.
• Warranties of accuracy, completeness, or reliability of displayed results.

IN NO EVENT SHALL MOTHOOQ BE LIABLE FOR:

• Any direct, indirect, incidental, consequential, punitive, or special damages arising from the use or inability to use the Services.
• Loss, corruption, or leakage of data for any reason, including technical failures, security breaches, system errors, or force majeure.
• Any temporary or permanent service interruption, whether planned (maintenance) or unplanned.
• Business, financial, or tax decisions made based on data or reports from the system.
• JoFotara rejection of your invoices or any issues related to connecting your account with government systems.
• Any damages resulting from actions of third parties or external service providers.
• Loss of profits, revenue, or business opportunities.

IN ALL CASES, OUR MAXIMUM AGGREGATE LIABILITY SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO US DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR 50 JOD — WHICHEVER IS LESS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mothooq, its officers, directors, employees, and agents from any claims, damages, losses, or costs (including reasonable attorney fees) arising from:

• Your use of the Services or violation of these terms.
• Your violation of any law or third-party rights.
• Data or content you enter into the system.

10. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, wars, cyberattacks, internet or power outages, government decisions, pandemics, or any other force majeure event.

11. Suspension & Termination

• We reserve the right to suspend or terminate your account immediately without prior notice for violating these terms.
• We reserve the right to suspend inactive accounts exceeding 12 months of inactivity.
• You may cancel your account at any time from your account settings.
• Upon account termination, your data may be permanently deleted after the legally required period and will not be recoverable.
• We reserve the right to discontinue or modify any or all of the Services at any time with reasonable notice.

12. Third-Party Services

The Services may integrate with third-party systems and services (such as JoFotara, payment providers, email services). We bear no responsibility for the performance, availability, security, or policies of these external services.

13. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of any material modifications 30 days before they take effect. Continued use of the Services after modification constitutes your express acceptance of the updated terms.

14. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan. Any dispute arising from or relating to these terms shall be referred exclusively to the competent courts in Amman, the Hashemite Kingdom of Jordan. You consent to the exclusive jurisdiction of these courts.

15. General Provisions

• Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Entire Agreement: These terms, together with the Privacy Policy, constitute the entire agreement between you and Mothooq.
• No Waiver: Failure to exercise any right does not constitute a waiver of that right.
• Assignment: You may not transfer or assign your rights or obligations under these terms.
